CIPC Automated the Applications for Company and CC Reinstatement

This article will count 0.25 units (15 minutes) of unverifiable CPD. Remember to log these units under your membership profile.

The Companies and Intellectual Property Commission (CIPC) has fully automated the process for reinstating deregistered companies and close corporations (Form CoR40.5), effective 11 August 2025.

All applications must now be submitted online via:

  • CIPC e-Services

  • BizPortal, or

  • Self-service Terminals.

Note: the old reinstatements email address (re-instatements@cipc.co.za) is disconnected and no longer in use.

Key changes and requirements

  • Only entities operational or with economic value at the time of deregistration may apply — evidence must be kept and may be requested under Companies Regulation 168.

  • No supporting documents required unless a court order is submitted.

  • Application fee: R200, payable via the CIPC card facility (court orders are processed free).

  • Submission alone does not count as filing — payment must be received for the application to be valid.

  • Entities reinstated must file all outstanding Annual Returns, Beneficial Ownership Declarations, and AFS/FAS within 30 business days or face re-deregistration.

  • Pending manual applications can be resubmitted online, but may result in duplicate processing and charges — no refunds will be given.

Special rules for court orders

  • Court orders must be uploaded for verification.

  • Once processed, the company must still submit all outstanding statutory filings or risk deregistration.

  • It is advised that reinstatement court orders include a compliance deadline.
