CIPC released an updated director amendment process on 16 October 2026 (Customer Notice 51 of 2026). A majority of the board must now confirm each newly appointed director with a one-time password (OTP), or the application ends.
What changed
CIPC is adding controls to stop unauthorised director changes. The screens will look slightly different and ICT security is stronger.
The rollout is phased. Phase one covers small companies where the directors and shareholders are the same people.
A majority of the board must confirm each new director by OTP “within the required timeframe”. The notice does not state that timeframe.
If the board does not confirm, the application is terminated.
The notice reminds filers that knowingly giving false or misleading information for fraudulent purposes is an offence under section 214(1)(b) of the Companies Act.
Who it affects
Company secretaries, accountants and company service providers who file director changes for clients, and the directors who must now confirm them.
Key dates
What this means for accountants and finance professionals
Filings now depend on directors. A practice can prepare a director change, but the board must confirm it. Build the directors’ confirmation into the job timeline and tell clients before you file.
Contact details matter. Confirmation runs by OTP, so outdated cell numbers or email addresses on the CIPC record will stall filings. Updating directors’ details becomes a first step in many engagements.
Fewer hijacked companies. The change is designed to stop unauthorised director changes. Practitioners can explain it to clients as a protection, even though it adds a step.
Lapsed applications. If the board does not confirm, the application ends. A lapsed filing leaves the CIPC record wrong, which can affect bank mandates, tenders and beneficial ownership filings.
What to do
Before filing a director change, confirm that each director’s cell number and email on the CIPC record are current, since confirmation is by OTP.
Tell directors to expect an OTP and to respond promptly, or the filing will lapse.
Keep a board resolution on file for every director appointment you submit.
Watch for CIPC notices on later phases, which may extend the process to other companies.
